1. Definitions

In these Terms and Conditions, the following terms have the meanings set out below:

  • "Agreement" means these Terms and Conditions together with any written service brief or engagement letter agreed between the parties.
  • "Service" means the AI services offered by Solvane, including Compliance Monitoring with AI, AI for Inventory Optimisation, and the AI Readiness Scorecard.
  • "We" / "Us" / "Our" means Solvane, a technology services company operating from 16 Jalan Tun H S Lee, 50100 Kuala Lumpur, Malaysia.
  • "You" / "Client" means any individual or organisation that accesses our website or engages us for Services.
  • "Deliverables" means the specific outputs agreed in a written service brief, including models, dashboards, reports, and documentation.
  • "Engagement" means a specific project undertaken under a written service brief.

2. Acceptance of Terms

By accessing our website at solvanecqy.club or by engaging our Services, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our website or engage our Services.

To engage our Services, you must be 18 years of age or older and have the legal capacity to enter into a binding agreement on behalf of yourself or the organisation you represent.

3. Our Services

Solvane provides AI professional services to businesses and organisations in Malaysia. Our Services include:

  • Compliance Monitoring with AI โ€” an 8-week engagement delivering AI-powered document and transaction monitoring systems, priced at RM 3,400.
  • AI for Inventory Optimisation โ€” an 8-week engagement delivering demand forecasting and inventory optimisation models, priced at RM 2,900.
  • AI Readiness Scorecard โ€” a 2-week structured assessment delivering a benchmarked scorecard and improvement roadmap, priced at RM 650.

The specific scope of each engagement is defined in a written service brief agreed before work commences. The service brief takes precedence over these Terms in the event of any conflict regarding the specific scope, deliverables, or timeline of a particular engagement.

4. Payment Terms

All prices are listed in Malaysian Ringgit (RM) and are subject to applicable taxes. Unless otherwise stated in the service brief:

  • A deposit of 50% of the engagement fee is due upon signing the service brief.
  • The remaining balance is due upon delivery of the final Deliverables.
  • Payment is accepted by bank transfer to Solvane's designated account.
  • Invoices not settled within 14 days of the due date may attract a late payment fee.

If an engagement is cancelled by the Client after the service brief is signed, the deposit is non-refundable. If Solvane cancels the engagement due to circumstances within our control, a full refund of any amounts paid will be provided.

5. Client Responsibilities

The Client agrees to:

  • Provide access to data, systems, and personnel necessary for Solvane to deliver the agreed Services within the agreed timeline.
  • Designate a named point of contact for the duration of the engagement.
  • Review and provide feedback on interim deliverables within agreed timeframes.
  • Ensure that any data provided to Solvane is provided lawfully and with appropriate authorisation.
  • Not misrepresent the purpose or context of the engagement during the scoping process.

Delays caused by the Client's failure to meet these responsibilities may result in adjustments to the project timeline at Solvane's discretion.

6. Intellectual Property

Upon full payment of all fees due under an engagement, ownership of the Deliverables produced specifically for the Client transfers to the Client, subject to the following:

  • Solvane retains ownership of any pre-existing tools, frameworks, or methodologies used in producing the Deliverables.
  • The Client is granted a perpetual, non-exclusive licence to use any Solvane-owned elements incorporated into the Deliverables for internal business purposes.
  • The Client may not resell, sub-licence, or commercially distribute Deliverables to third parties without Solvane's prior written consent.

7. Confidentiality

Each party agrees to treat as confidential all non-public information received from the other party in connection with an engagement. This obligation survives the termination of the engagement for a period of three years. Confidential information does not include information that is independently developed, publicly available, or required to be disclosed by law.

8. Disclaimers

Our Services are provided on a professional services basis. While we apply sound methodology and professional judgment, we do not warrant that Deliverables will achieve specific business outcomes. The performance of AI models depends significantly on the quality and completeness of the data provided, which is outside our control.

Our website and any content on it are provided "as is" without warranties of any kind, express or implied. We do not warrant that the website will be uninterrupted or error-free.

9. Limitation of Liability

To the maximum extent permitted by Malaysian law, Solvane's total liability to the Client arising from or in connection with an engagement shall not exceed the total fees paid by the Client for that engagement.

We are not liable for any indirect, consequential, special, or incidental damages, including loss of profits or business opportunity, even if we have been advised of the possibility of such damages.

10. Acceptable Use of Our Website

You agree not to use our website to transmit harmful, unlawful, or misleading content; attempt to gain unauthorised access to our systems; or engage in any activity that interferes with the normal operation of our website.

11. Termination

Either party may terminate an engagement by giving written notice if the other party commits a material breach of the Agreement and fails to remedy that breach within 14 days of written notice.

Upon termination, any Deliverables completed up to the termination date will be provided to the Client, and fees for completed work will be payable. Solvane will return or securely destroy any Client data in our possession upon request.

12. Governing Law and Disputes

These Terms and Conditions and any engagement governed by them are subject to the laws of Malaysia. The courts of Malaysia shall have exclusive jurisdiction to settle any dispute arising from or in connection with these Terms.

Before commencing legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days.

13. General Provisions

  • Entire Agreement: These Terms, together with any applicable service brief, constitute the entire agreement between the parties regarding the Services.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
  • Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.

14. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of our website or Services after an update constitutes acceptance of the revised Terms. For material changes, we will endeavour to provide reasonable notice where we hold your contact details.
